Any images, text, videos, audio, or other content ("User Content") that you upload, share, or transmit through Huddle remains your property. However, by uploading User Content, you grant Huddle a non-exclusive, royalty-free license to use, display, and store such content solely for the purpose of providing the App's services.
All User Content uploaded to Huddle is not affiliated with any business, organization, or entity and does not reflect the identity, values, opinions, or positions of Huddle or its Owner, WAV Technologies, LLC. The presence of any User Content on the App does not constitute an endorsement, verification, or approval of such content by Huddle or its Owner.
Users are prohibited from uploading content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, or otherwise objectionable.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAV Technologies, LLC AND HUDDLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
(a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP;
(b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;
(c) ANY CONTENT OBTAINED FROM THE APP; OR
(d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
The Owner and Huddle are not responsible for monitoring or filtering any User Content and are not liable for any damages or losses resulting from any User Content accessed through the App.
You agree to defend, indemnify, and hold harmless WAV Technologies, LLC, Huddle, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the App or your violation of these Terms.
Huddle reserves the right to modify or update these Terms at any time. Your continued use of the App after any changes indicates your acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
